1. Introduction
Welcome to CaseMate. These Terms of Service ("Terms") govern your use of the CaseMate casework management platform ("Service") provided by us ("CaseMate", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
2. Eligibility
To use CaseMate, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration
To access the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorised access to your account
- Accept responsibility for all activities that occur under your account
4. Subscription and Payment
4.1 Free Trial
New accounts may be eligible for a free trial period as specified at the time of registration. During the trial, you will have access to the Service features included in your selected plan.
4.2 Subscription Plans
Following your trial period, continued access to the Service requires a paid subscription. Subscription fees are based on your selected plan and billing cycle (monthly or annual).
4.3 Payment Terms
- All fees are quoted in British Pounds Sterling (GBP) and exclude VAT
- Payment is due at the start of each billing period
- We accept major credit and debit cards
- Subscription fees are non-refundable except as required by law
4.4 Price Changes
We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing period.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in violation of any applicable law or regulation
- Upload or transmit any malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to the Service or other accounts
- Interfere with or disrupt the Service or servers
- Use the Service to send spam or unsolicited communications
- Share your account credentials with third parties
- Resell, sublicense, or redistribute the Service without authorisation
- Remove or alter any proprietary notices or labels
6. Your Data
6.1 Ownership
You retain all rights to the data and content you upload to the Service ("Your Data"). We do not claim ownership of Your Data.
6.2 Licence
You grant us a limited licence to use, process, and store Your Data solely for the purpose of providing the Service to you.
6.3 Responsibility
You are responsible for ensuring that Your Data complies with all applicable laws, including data protection legislation. You must have appropriate legal basis and consents for any personal data you process using the Service.
6.4 Data Processing
Where you use the Service to process personal data on behalf of constituents or other data subjects, you act as the data controller. We act as a data processor on your behalf, and our data processing practices are governed by our Privacy Policy.
7. Intellectual Property
The Service, including its design, features, and content (excluding Your Data), is owned by CaseMate and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.
8. Service Availability
We strive to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable advance notice where possible)
- Emergency maintenance or security updates
- Factors beyond our reasonable control
9. Termination
9.1 By You
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.
9.2 By Us
We may suspend or terminate your access to the Service if you:
- Breach these Terms
- Fail to pay subscription fees
- Engage in conduct that we reasonably believe is harmful to other users or the Service
9.3 Effect of Termination
Upon termination, your right to use the Service will cease immediately. We will provide you with a reasonable period to export Your Data. After this period, we may delete Your Data in accordance with our data retention policies.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees you paid in the 12 months preceding the claim
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold harmless CaseMate from any claims, damages, or expenses arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and CaseMate regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign your rights under these Terms without our consent.
